Flock XR Unit of Work License Agreement

1. Introduction

This License Agreement ("Agreement") is a legally binding contract between Flip Computing Ltd ("Licensor") and the purchaser or authorized user ("Licensee"). By accessing, using, or distributing any content within this Flock XR Unit of Work ("Unit"), the Licensee agrees to comply with the terms and conditions outlined in this Agreement.

2. Definitions

  • Unit: All digital materials included, including but not limited to Word documents, slides, videos, and any other electronic files.
  • License: The type of access granted to the Licensee, either an Individual License or a School License.
  • Individual License: Permits a single educator to use the Unit in their classroom or club only.
  • School License: Permits all educators within the purchasing school to use the Unit for educational purposes.
  • Classroom Management System: A secure, internal platform (e.g. Google Classroom) used to share educational content with authorized students.

3. Ownership and Copyright

All content within the Unit is protected by copyright law and remains the exclusive property of the Licensor. Licensee is granted a non-exclusive, non-transferable license to use the content under the terms specified in this Agreement.

  • The Flock XR mascot (purple bird) and the name Flock XR are registered trademarks of Flip Computing Ltd.

4. Permitted Use

  • Licensee may use, display, and present the Unit’s content in accordance with the purchased License type.
  • Licensee may upload the Unit’s content to a secure Classroom Management System (e.g. Google Classroom) for access by authorized students.
  • Licensee may reproduce, modify, adapt and distribute copies of the Unit’s materials exclusively for use within the authorized class, club or school.

5. Prohibited Use

  • Licensee may not make the Unit’s content publicly accessible (e.g. posting videos on YouTube or any public platform).
  • Licensee may not share, sell, resell, or otherwise distribute the Unit beyond the terms of the purchased License.
  • Licensee may not modify, adapt, or create derivative works from the Unit’s content for resale.
  • Licensee may not use the branded templates to create new or derivative works for resale, including as part of paid for workshops or activities.

6. Copyright Notice

Each file within the Unit contains a copyright notice, which must not be removed, obscured, or altered.

7. Liability Disclaimer

The Licensor provides the Unit "as is" without any warranties, express or implied. The Licensor shall not be liable for any direct, indirect, incidental, or consequential damages resulting from the use of the Unit.

8. Termination

This License will be terminated automatically if the Licensee breaches any of the terms of this Agreement. Upon termination, the Licensee must immediately cease all use of the Unit and destroy all copies in their possession.

10. Agreement Acceptance

By purchasing, accessing, or using this Unit, the Licensee acknowledges and agrees to the terms of this License Agreement.
